Terms of Service.
Please read these commercial Terms of Service carefully before utilizing the Veranet captive portal software, RADIUS authentication endpoints, automated billing APIs, and edge synchronization services.
1. Acceptance of Terms & Commercial Scope
These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between Veranet, Inc. ("Veranet", "we", "our", or "us") and the enterprise, entity, ISP, venue operator, or individual ("Customer", "Operator", "you") registering for, accessing, or utilizing Veranet cloud-managed captive portal software, API routing, voucher generators, RADIUS endpoints, and edge synchronization middleware (collectively, the "Services").
By creating an operator account, downloading setup scripts, configuring RADIUS attributes on edge hardware (including MikroTik, OpenWrt, Ubiquiti, or Cisco gateways), or paying subscription invoices, you represent and warrant that you have full authority to bind your organization to this Agreement.
2. Cloud Platform Architecture & Software License
Subject to timely payment of applicable subscription fees and continuous compliance with this Agreement, Veranet grants Customer a non-exclusive, non-transferable, revocable, worldwide commercial license to access the Veranet Web Dashboard, deploy white-labeled captive portal login pages, and synchronize edge router hardware via our secure cloud APIs.
No Sale of Core Software: You acknowledge that you are obtaining a subscription license to use cloud software as a service (SaaS). Veranet retains all right, title, and interest in and to the cloud platform, backend RADIUS server logic, database schemas, and proprietary bandwidth shaping algorithms.
3. Operator Accounts, Security & Credentials
To access the management dashboard, you must register an operator account with accurate, up-to-date business information. You are solely responsible for:
- Maintaining the absolute confidentiality of your admin login credentials, 2-Factor Authentication keys, and RADIUS shared secrets.
- All operations, token issuances, tariff changes, and edge router commands executed through your account credentials.
- Promptly notifying Veranet at security@veranet.online if you suspect unauthorized access or credential compromise.
4. Acceptable Use Policy (AUP)
Customer agrees never to use, configure, or permit the Veranet platform or captive portal landing pages to be used for:
- Injecting deceptive malware, unauthorized ad networks, malicious popups, or phishing forms into end-user captive portals.
- Capturing end-user banking credentials or executing unencrypted credential sniffing attacks.
- Transmitting unsolicited spam communications via our automated SMS or email receipt dispatch engines.
- Attempting to reverse-engineer, decompile, or perform distributed denial-of-service (DDoS) testing against Veranet cloud servers without prior written authorization.
5. Subscription Fees, Operator Vouchers & Gateway Routing
SaaS Subscription Billing: Operator subscription plans (Starter, Pro, Operator Tier) are billed in advance on a recurring monthly or annual billing cycle. Fees are non-refundable except as explicitly provided in our Refund Policy.
End-User Wi-Fi Transactions: When end-user consumers purchase Wi-Fi access vouchers via your captive portal (through Paystack, Flutterwave, M-Pesa, or Stripe integrations), the Operator is the Merchant of Record. Veranet acts strictly as technical routing software. The Operator bears 100% financial liability for end-user consumer chargebacks, refunds, or payment disputes.
6. White-Labeling & Intellectual Property Rights
Veranet grants Pro and Operator tier customers the right to white-label their captive portal interface, custom subdomains, voucher vouchers, and venue branding.
Customer represents and warrants that all logos, venue graphics, and trademarks uploaded to custom captive portal templates are owned by Customer or properly licensed, and do not infringe on any third-party copyrights or trademarks.
7. Service Availability, SLA & Offline Resiliency
Veranet targets a 99.9% monthly uptime availability across our core RADIUS and cloud database infrastructure. Details regarding service credits, uptime calculation criteria, and planned maintenance windows are set forth in our Investment & SLA Disclaimer.
Offline Edge Fallback: Veranet edge scripts utilize local router caching. In the event of an upstream WAN outage between your venue router and our cloud cluster, active authenticated users remain connected. Veranet is not liable for revenue loss resulting from local physical ISP cuts or on-premise hardware power failures.
8. Third-Party Hardware & Network Dependencies
Veranet software interfaces with physical network gateways manufactured by third parties (including MikroTik RouterBOARDs, OpenWrt routers, Ubiquiti UniFi, and Cisco hardware). Veranet is an independent software provider and is not affiliated with, endorsed by, or sponsored by these hardware manufacturers.
Customer is solely responsible for router firmware maintenance, physical hardware warranty, and upstream internet transit agreements with local telecommunication carriers.
9. Data Protection, GDPR & NDPA Compliance
Our collection, processing, and storage of account telemetry, MAC addresses, and hotspot session tokens are governed by our comprehensive Privacy Policy. By using the Services, you agree that Veranet acts as a Data Processor on your behalf regarding end-user captive portal connections.

11. Aggregate Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERANET, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT.
IN ALL CASES, VERANET'S TOTAL AGGREGATE LIABILITY ARISING UNDER THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE TOTAL AMOUNT OF SUBSCRIPTION FEES ACTUALLY PAID BY CUSTOMER TO VERANET IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD), WHICHEVER IS GREATER.
12. Indemnification
Customer agrees to defend, indemnify, and hold harmless Veranet, Inc. and its officers, directors, agents, and employees from and against any third-party claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of:
- Customer's violation of this Agreement or Acceptable Use Policy.
- Customer's operation of public or private Wi-Fi networks, including copyright infringement claims or unlawful content transmitted by Customer's end-user subscribers.
- End-user payment chargebacks, fraud claims, or consumer regulatory complaints arising from Customer's local hotspot vouchers.
13. Term, Suspension & Termination
Self-Service Cancellation: Customers may cancel their SaaS subscription at any time directly through the dashboard billing settings pursuant to our Cancellation Policy.
Suspension for Cause: Veranet reserves the right to immediately suspend or terminate any operator account that engages in abusive bandwidth exploitation, security tampering, payment fraud, or severe AUP violations.
Data Grace Period: Upon termination, Customer has thirty (30) calendar days to export voucher records, customer lists, and financial CSV logs before data is permanently scheduled for purge.
14. Governing Law & Mandatory Binding Arbitration
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to this contract shall be resolved by binding commercial arbitration administered under the rules of the American Arbitration Association (AAA). Class Action Waiver: Both Customer and Veranet agree that any arbitration or proceeding shall be conducted solely on an individual basis and not in a class, consolidated, or representative action.
